Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Agrianta platform, including our website, web dashboard, iOS and Android mobile applications, APIs, and related services (collectively, the "Services") provided by Astraeus Technology Limited ("we", "us", "our", or "Agrianta").
Astraeus Technology Limited is a company registered in England and Wales (Company Number: 15162283).
By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy, and, where you act as a controller of personal data, our Data Processing Addendum. If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
Agrianta is a farm management platform and insights engine. Our Services include:
Core Platform
Data ingestion, normalisation, dashboards, alerting, reporting, and base insights for farm management, available through the web dashboard and our iOS and Android mobile apps.
Available Modules
- Herd Health: Heat and oestrus detection, welfare monitoring, intake tracking, and feed efficiency analysis
- Compliance: Red Tractor and FAW equivalents, drug logs, withdrawal dates, and traceability, including statutory reporting to the UK Livestock Information Service
- Vision and Camera Pack: Gait and lameness scoring, posture analysis, and conformation assessment
- Operations and Maintenance: Environment monitoring, equipment tracking, and service alerts
- Fields and Forage: Soil moisture, nitrate monitoring, and pasture utilisation
- Vet Insights: Shared dashboards, consult packs, and case timelines for veterinary practices
- Sensor Integrations: Connectors for collars, tags, boluses, and environmental sensors
- Scout AI: AI-powered chat and retrieval-augmented answers over your farm records, and livestock image recognition for ear tags and passports
Modules are optional and may be subscribed to separately. The specific features available to you depend on your subscription plan.
3. Account Registration
To use certain features of our Services, you must register for an account. When you register, you agree to:
- Provide accurate, current, and complete information about yourself and your organisation
- Maintain and promptly update your account information to keep it accurate and complete
- Keep your password secure and confidential, and not share your account credentials with others
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorised use of your account or any other breach of security
You must be at least 18 years old to create an account and use our Services.
4. Subscriptions and Payment
Subscription Plans
Our Services are offered on a subscription basis. Pricing is based on farm size, herd count, and the modules you select. Specific pricing details are provided during the subscription process or upon request.
Free Trials
We may offer a free trial that gives you access to one or more modules for a limited period (typically one month for new accounts). Trials are intended for evaluation only. At the end of the trial, you may select the modules you wish to subscribe to; unselected modules will cease to be available, and we will delete or archive data associated with them in line with our retention policy. You can cancel at any time during the trial through your account settings, in which case no fee will be charged for the trial period.
Billing
- Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan
- All fees are exclusive of VAT and other applicable taxes unless otherwise stated
- Payment is due upon invoice and may be made by the methods specified during checkout. Card details are entered directly into our payment provider's secure form and never reach our servers.
Cancellation
You may cancel your subscription at any time through your account settings or by contacting us. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial billing periods unless required by law.
Price Changes
We may change our subscription fees from time to time. We will provide you with at least 30 days' notice of any price increases. Continued use of the Services after a price change constitutes acceptance of the new pricing.
5. Data Ownership and Rights
Your Data
You own your data. All farm data, livestock records, and other information you upload to our platform ("Your Data") remains your property. We do not claim ownership of Your Data.
Licence to Use Your Data
By using our Services, you grant us a limited, non-exclusive licence to access, process, and display Your Data solely to provide the Services to you. This licence ends when you terminate your account, subject to any legal retention requirements.
Data Sharing
You control who has access to Your Data. Our platform supports granular, revocable sharing permissions for partners such as veterinarians and advisors. You may grant or revoke access at any time through your account settings.
Data Export and Portability
You may export Your Data at any time using our export tools. We provide data in standard, machine-readable formats. Upon account termination, you will have 30 days to export Your Data before it is deleted.
Data Processing Addendum
Where you use the Services to process personal data about others (for example, employees, farm workers, or individuals whose details appear in your farm records), you act as a controller and we act as a processor. Our Data Processing Addendum applies to that processing and forms part of these Terms. A list of our current sub-processors is published at agrianta.com/subprocessors.
Aggregated and Anonymised Data
We may create aggregated, anonymised data from Your Data that cannot be used to identify you or your farm. We may use this anonymised data for research, product improvement, and industry benchmarking.
6. Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not:
- Use the Services in any way that violates any applicable law, regulation, or industry code of practice
- Attempt to gain unauthorised access to any part of the Services, other accounts, or computer systems
- Interfere with or disrupt the integrity or performance of the Services
- Upload or transmit viruses, malware, or other malicious code
- Use the Services to transmit unsolicited commercial communications
- Reverse engineer, decompile, or disassemble any aspect of the Services
- Resell, sublicence, or provide access to the Services to third parties without our written consent
- Use the Services in a manner that could harm animal welfare or encourage illegal practices
- Use Scout AI or other AI-powered features to generate content that is unlawful, defamatory, or intended to deceive; to attempt to extract or reconstruct training data from underlying AI models; or to circumvent any usage limits we apply
You represent that you are not located in, and will not access or use the Services from, a country subject to UK, EU, UN, or US trade sanctions, and that you are not on any applicable sanctions or restricted-parties list. You agree to comply with all applicable export-control and sanctions laws in your use of the Services.
7. Third-Party Integrations and Devices
Our Services integrate with third-party hardware and software, including sensors, cameras, collars, tags, boluses, and other devices ("Third-Party Products").
- We are not responsible for the performance, accuracy, or reliability of Third-Party Products
- Your use of Third-Party Products is subject to the terms and conditions of those providers
- We provide adapters and connectors on an "as is" basis and cannot guarantee compatibility with all devices
- Installation and use of sensors, boluses, and other devices on animals should comply with all applicable animal welfare regulations and be performed by qualified personnel
8. Animal Welfare and Sensor Use
You acknowledge and agree to the following regarding animal welfare and the use of sensors and monitoring devices:
Your Responsibilities
- You are solely responsible for all decisions regarding animal health, welfare, and farm management
- Any boluses, sensors, collars, tags, or other devices applied to animals must be administered by qualified personnel in accordance with manufacturer guidelines and applicable animal welfare regulations
- You must ensure that any device installation complies with Red Tractor, RSPCA Assured, or other applicable assurance scheme requirements
- You are responsible for monitoring animals for any adverse reactions to sensors or boluses and taking appropriate action
- You must maintain appropriate health and safety procedures when using monitoring equipment on your farm
Nature of Insights and Alerts
The insights, alerts, and recommendations provided by our platform — including those produced by Scout AI and livestock image recognition — are intended as decision-support tools only. They are generated by algorithms based on sensor data and patterns, and:
- Do not constitute veterinary advice or diagnosis
- Should not replace professional veterinary consultation
- May not detect all health issues or conditions
- May occasionally produce false positives or false negatives
You should always consult a qualified veterinarian for animal health decisions. We strongly recommend maintaining regular veterinary relationships and not relying solely on automated monitoring systems.
9. AI-Powered Features
Some features of the Services use third-party AI providers: Scout AI (OpenAI, United States) for chat, questions, and retrieval-augmented answers, and livestock image recognition (Anthropic Claude Vision, United States) for reading ear tags and passports. When you use these features we transmit your prompt, relevant farm context, or uploaded image to the applicable provider for inference; see our Privacy Policy and Sub-processors page for details.
No training on your inputs. We use API tiers with both OpenAI and Anthropic that do not permit your inputs, outputs, or livestock images to be used to train their foundation models.
AI outputs may be wrong. AI features are decision-support only. They can hallucinate, misread ear tags, miss relevant context, or produce incomplete answers. You are responsible for verifying AI output before acting on it, and you must not rely on AI output for any decision with legal, financial, or animal-welfare consequences without human review.
Usage limits. We may apply fair-use or plan limits to AI features (for example, message or image caps per billing period). Current limits are shown in the product and may change with reasonable notice.
No automated significant decisions. AI insights and alerts are not used to make decisions that produce legal or similarly significant effects on individuals within the meaning of Article 22 UK GDPR.
10. Intellectual Property
The Services, including all software, algorithms, designs, text, graphics, logos, and other content (excluding Your Data), are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable licence to access and use the Services for your internal business purposes during the term of your subscription. This licence does not include any right to modify, distribute, or create derivative works based on the Services.
11. Mobile Applications
We provide iOS and Android mobile applications (the "Mobile Apps") that access the Services. Your use of the Mobile Apps is subject to these Terms and, additionally:
App Store Terms
If you install the Mobile App from the Apple App Store, you acknowledge that these Terms are concluded between you and us, and not with Apple; Apple is a third-party beneficiary of these Terms solely for the purposes set out in Apple's Licensed Application End User License Agreement, which applies in addition to these Terms. If you install the Mobile App from Google Play, Google Play's Terms of Service and applicable developer distribution agreement apply in addition to these Terms.
Mobile Licence
Subject to these Terms, we grant you a limited, revocable, non-transferable, non-exclusive licence to install and use the Mobile Apps on devices that you own or control, solely for your use of the Services.
Permissions, Updates and Support
- The Mobile Apps request device permissions described in our Privacy Policy. You can grant or revoke each permission through your device settings; revoking a permission may disable related features.
- We may update the Mobile Apps from time to time, including security and compatibility updates. You may be required to install updates to continue using the Services.
- We may end support for older operating-system versions with reasonable notice.
- Network, data, and carrier charges incurred in using the Mobile Apps are your responsibility.
12. Service Availability, Changes and Support
Availability
We strive to provide reliable access to our Services. However, we do not guarantee uninterrupted or error-free operation. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
Offline Functionality
Our platform, and in particular the Mobile Apps, include offline-first features designed for areas with limited connectivity. Data entered offline is cached on the device and synced to our servers when connectivity is restored. Where the same record is edited in multiple places, we resolve conflicts using a last-write-wins rule based on server-received timestamp. We are not responsible for data loss resulting from extended offline periods, uninstallation of the Mobile App, or sync failures beyond our reasonable control.
Modifications to the Services
We may add, modify, or remove features of the Services at any time. Where we materially reduce or remove a feature that forms a core part of your subscription, we will give reasonable advance notice by email or in-product message.
Beta and Experimental Features
We may label certain features as "beta", "preview", or "experimental". Beta features are provided "as is", may change or be discontinued at any time, are not covered by any availability commitment, and are excluded from the warranties and service levels that otherwise apply to generally available features.
Support
We provide onboarding guidance and basic support as part of your subscription. Enhanced support services may be available for an additional fee.
13. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Services will meet your specific requirements or expectations
- The Services will be uninterrupted, timely, secure, or error-free
- The insights, alerts, or recommendations (including AI outputs) provided by the Services will be accurate or reliable
- Any defects in the Services will be corrected
Agricultural and Veterinary Advice
The insights and recommendations provided by our Services, including any AI outputs, are for informational purposes only and do not constitute veterinary, agricultural, or professional advice. You should always consult qualified professionals for decisions affecting animal health, welfare, and farm management. We are not liable for any decisions made based on information provided by our Services.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, ANIMALS, OR GOODWILL
- OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Astraeus Technology Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any third-party rights.
16. Termination
Either party may terminate this agreement at any time by providing written notice.
We may suspend or terminate your access to the Services immediately if:
- You breach any provision of these Terms
- You fail to pay any fees when due
- We are required to do so by law or a court order
- We reasonably believe your use poses a security risk or may harm other users
Upon termination, you will have 30 days to export Your Data. After this period, we will delete Your Data in accordance with our data retention policies, unless we are legally required to retain it.
17. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by email. Your continued use of the Services after any changes constitutes acceptance of the revised Terms. If you do not agree to the changes, you should stop using the Services.
18. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales. However, nothing in these Terms prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction.
19. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, Data Processing Addendum, and any subscription agreement, constitute the entire agreement between you and us regarding the Services.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
- Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
- Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, power outages, pandemic or epidemic, governmental or regulatory action, large-scale cyber-attack or denial-of-service event, and failure or unavailability of third-party infrastructure or networks on which the Services depend.
- Publicity: We may identify you by name and logo as a customer of Agrianta in our marketing materials, website, case studies, and investor communications. You may opt out of this at any time by emailing hello@agrianta.com, and we will remove your name and logo from public-facing materials within a reasonable period. Neither party may use the other's marks in any other way without the other party's prior written consent.
