Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your use of the Agrianta platform, including our website, web dashboard, iOS and Android mobile applications, APIs, and related services (collectively, the "Services"). They are provided by Astraeus Technology Limited ("we", "us", "our", or "Agrianta"), a company registered in England and Wales, Company Number 15162283.
By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy, and, where you act as a controller of personal data, our Data Processing Addendum. If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
Agrianta is a farm management platform and insights engine, used through the web dashboard and our iOS and Android mobile apps. It covers livestock records, reproduction, health alerts, weight and growth, milk recording, medicine and inventory, compliance and traceability, grazing, farm operations, weather, costs, sensor connections, vet sharing, and Scout AI.
Plans
The Services are sold as two subscription plans, Core and Pro, each priced across four herd-size bands. Pro adds advanced analytics on top of everything in Core. Herd Sense, our device monitoring add-on, is charged per connected device. Veterinary seats are included at no extra cost. What each plan includes, and current prices, are set out at agrianta.com/pricing.
3. Account Registration
To use certain features you must register for an account. When you do, you agree to:
- Provide accurate information about yourself and your organisation, and keep it up to date
- Keep your credentials secure and not share them with others
- Accept responsibility for all activity under your account
- Tell us immediately about any unauthorised use of your account or other breach of security
You must be at least 18 years old to create an account and use our Services.
Account Security
Password sign-in requires a verified email address and a password of at least 12 characters. Optional two-factor authentication with an authenticator app and one-time backup codes is available, and we recommend turning it on. Changing your password signs you out of all other active sessions.
4. Subscriptions and Payment
Subscription Plans
Our Services are offered on a subscription basis. What you pay depends on the plan you choose, your herd size, and the number of Herd Sense devices you connect. Current prices are published at agrianta.com/pricing.
Free Trials
New accounts start with a free trial that gives full Pro access for one month. Trials are for evaluation only. You can cancel at any time during the trial through your account settings, in which case no fee is charged for the trial period. If you do not subscribe after your trial ends, your organisation is scheduled for closure approximately 30 days later and handled as described in Section 16, including the 30-day recovery window before permanent deletion.
Billing
- Fees are billed in advance, monthly or annually, depending on your plan
- All fees exclude VAT and other applicable taxes unless stated otherwise
- Payment is due on invoice, by the methods offered at checkout. Card details go straight into our payment provider's secure form and never reach our servers.
Cancellation and Price Changes
You may cancel at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period, and we do not refund partial billing periods unless the law requires it. We may change our fees from time to time and will give at least 30 days' notice of an increase; continued use after that means you accept the new pricing.
5. Data Ownership and Rights
Your Data
You own your data.All farm data, livestock records, and other information you upload ("Your Data") stays yours; we claim no ownership of it. You grant us a limited, non-exclusive licence to access, process, and display Your Data solely to provide the Services to you, and that licence ends when you terminate your account, subject to legal retention requirements.
Data Sharing
You control who has access to Your Data. The platform supports granular, revocable sharing with partners such as veterinarians and advisors, and you may grant or revoke access at any time in your account settings.
Data Export and Portability
You may export Your Data at any time in standard machine-readable formats. If you close your organisation, we email the owner an export of its records; download links expire after 7 days. Section 16 covers what happens to Your Data on termination.
Data Processing Addendum
Where you use the Services to process personal data about others, such as employees or people named in your farm records, you act as a controller and we act as a processor. Our Data Processing Addendum applies to that processing and forms part of these Terms. Our current sub-processors are listed at agrianta.com/subprocessors.
Aggregated and Anonymised Data
We may create aggregated, anonymised data from Your Data that cannot identify you or your farm, and use it for research, product improvement, and industry benchmarking.
6. Acceptable Use
You agree to use the Services only for lawful purposes and in line with these Terms. You must not:
- Break any applicable law, regulation, or industry code of practice
- Attempt to gain unauthorised access to the Services, other accounts, or any computer system
- Interfere with the integrity or performance of the Services, or upload viruses, malware, or other malicious code
- Use the Services to send unsolicited commercial communications
- Reverse engineer, decompile, or disassemble any part of the Services
- Resell, sublicence, or give third parties access to the Services without our written consent
- Use the Services in a way that could harm animal welfare or encourage illegal practices
- Use Scout AI or other AI features to generate unlawful, defamatory, or deceptive content, to extract or reconstruct training data from the underlying models, or to get around any usage limits we apply
You confirm that you are not in, and will not use the Services from, a country subject to UK, EU, UN, or US trade sanctions, and that you are not on any applicable sanctions or restricted-parties list. You agree to comply with export-control and sanctions laws.
7. Third-Party Integrations and Devices
Our Services connect to third-party hardware and software, including sensors, collars, tags, and boluses ("Third-Party Products").
- We are not responsible for their performance, accuracy, or reliability, and your use of them is governed by those providers' own terms
- We provide adapters and connectors on an "as is" basis and cannot guarantee compatibility with every device
- Devices fitted to animals must be installed by qualified people, in line with applicable animal welfare regulations
8. Animal Welfare and Sensor Use
Your Responsibilities
- You are solely responsible for all decisions about animal health, welfare, and farm management
- Boluses, sensors, collars, tags, and similar devices must be fitted by qualified people, following the manufacturer's guidance, applicable animal welfare regulations, and any assurance scheme you belong to, such as Red Tractor or RSPCA Assured
- You must watch animals for adverse reactions to sensors or boluses and act on them, and keep proper health and safety procedures in place when using monitoring equipment
Nature of Insights and Alerts
The insights, alerts, and recommendations provided by our platform, including those produced by Scout AI and livestock image recognition, are decision-support tools only. They are generated by algorithms from sensor data and patterns, and:
- Do not constitute veterinary advice or diagnosis
- Should not replace professional veterinary consultation
- May not detect all health issues or conditions
- May occasionally produce false positives or false negatives
Always consult a qualified veterinarian for animal health decisions. Keep up your regular veterinary relationships and do not rely on automated monitoring alone.
9. AI-Powered Features
Some features use third-party AI providers: Scout AI (OpenAI, United States) for chat and retrieval-augmented answers, and livestock image recognition (Anthropic Claude Vision, United States) for ear tags and passports. Using them sends your prompt, relevant farm context, or uploaded image to that provider for inference; see our Privacy Policy and Sub-processors page for details.
No training on your inputs. We use API tiers with both OpenAI and Anthropic that do not permit your inputs, outputs, or livestock images to be used to train their foundation models.
AI outputs may be wrong. AI features can hallucinate, misread ear tags, or miss relevant context. Section 8 sets out how you should treat them; you are responsible for checking AI output before you act on it.
Usage limits. We may apply fair-use or plan limits to AI features, such as message or image caps per billing period. Current limits are shown in the product and may change with reasonable notice.
No automated significant decisions. AI insights and alerts are not used to make decisions that produce legal or similarly significant effects on individuals within the meaning of Article 22 UK GDPR.
10. Intellectual Property
The Services, including all software, algorithms, designs, text, graphics, and logos (excluding Your Data), are owned by us or our licensors and protected by intellectual property laws.
We grant you a limited, non-exclusive, non-transferable licence to use the Services for your internal business purposes during the term of your subscription. It gives you no right to modify, distribute, or create derivative works from the Services.
11. Mobile Applications
We provide iOS and Android mobile applications (the "Mobile Apps") that access the Services. Subject to these Terms, we grant you a limited, revocable, non-transferable, non-exclusive licence to install and use them on devices you own or control, solely for your use of the Services.
App Store Terms
If you install from the Apple App Store, these Terms are concluded between you and us, not with Apple; Apple is a third-party beneficiary of them for the purposes set out in Apple's Licensed Application End User License Agreement, which also applies. If you install from Google Play, Google Play's Terms of Service and the applicable developer distribution agreement also apply.
Permissions and Updates
- The Mobile Apps request the device permissions described in our Privacy Policy. You can grant or revoke each one in your device settings; revoking a permission may disable related features.
- We update the Mobile Apps from time to time, and you may need to install updates to keep using the Services. We may end support for older operating-system versions with reasonable notice.
- Network, data, and carrier charges are your responsibility.
12. Service Availability, Changes and Support
Availability
We aim to provide reliable access, but we do not guarantee uninterrupted or error-free operation. The Services may be temporarily unavailable for maintenance, updates, or reasons beyond our control.
Offline Functionality
The Mobile Apps work offline in areas with poor connectivity. Data entered offline is cached on the device and synced when connectivity returns. Where the same record is edited in more than one place, we resolve the conflict on a last-write-wins basis using the server-received timestamp. We are not responsible for data loss from extended offline periods, uninstalling the Mobile App, or sync failures beyond our reasonable control.
Changes, Beta Features and Support
We may add, change, or remove features at any time. Where we materially reduce or remove a feature that is a core part of your subscription, we will give reasonable advance notice by email or in-product message. Features labelled "beta", "preview", or "experimental" are provided "as is", may change or stop at any time, and fall outside the warranties and availability commitments that apply elsewhere. Onboarding guidance and basic support are included; enhanced support may be available for an additional fee.
13. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will meet your requirements, run uninterrupted or error-free, produce accurate or reliable insights, alerts, or AI outputs, or that every defect will be corrected.
Nothing the Services produce is veterinary, agricultural, or professional advice, and we are not liable for decisions you make on the strength of it. See Section 8.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, ANIMALS, OR GOODWILL
- OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
15. Indemnification
You agree to indemnify and hold harmless Astraeus Technology Limited, its officers, employees, and agents against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) connected with your use of the Services, your breach of these Terms, or your infringement of third-party rights.
16. Termination
Termination by You
You may cancel your subscription, delete your account, or close your organisation at any time in your account settings, or by giving us written notice.
Account deletion. Deleting your account erases your name, email address, credentials, sessions, and two-factor settings immediately. Records you contributed stay with your organisation. If you are its only member, the organisation is scheduled for closure too.
Organisation closure.Billing stops promptly. The organisation's data is kept but inaccessible for a 30-day recovery window, during which the owner can cancel the closure, and is permanently deleted after it. Trial organisations that do not convert to a paid subscription follow the same process.
Termination or Suspension by Us
We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees when due, or if we are required to by law or a court order, or reasonably believe your use poses a security risk or may harm other users.
Effect of Termination
After the 30-day recovery window, Your Data is permanently deleted from our live systems. We keep billing and financial records for approximately six years to meet tax obligations, and anything else the law requires us to retain. Exports, backups and post-termination retention are set out in our Data Processing Addendum, section 13.
17. Changes to These Terms
We may update these Terms from time to time. We will tell you about material changes by posting the updated Terms on our website and, where appropriate, by email. Continued use of the Services after a change means you accept the revised Terms. If you do not agree, stop using the Services.
18. Governing Law and Disputes
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Disputes relating to these Terms or the Services are subject to the exclusive jurisdiction of the courts of England and Wales, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
19. General Provisions
- Entire Agreement: These Terms, our Privacy Policy, Data Processing Addendum, and any subscription agreement are the entire agreement between you and us about the Services.
- Severability: If any provision is found unenforceable, the rest stays in force.
- Waiver: If we do not enforce a right or provision of these Terms, that is not a waiver of it.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign them without restriction.
- Force Majeure: We are not liable for failure or delay caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, power outages, epidemics, government action, large-scale cyber-attack, and failure of third-party infrastructure or networks the Services depend on.
- Publicity: We may identify you by name and logo as a customer of Agrianta in our marketing materials, website, case studies, and investor communications. You may opt out at any time by emailing hello@agrianta.com, and we will remove your name and logo from public-facing materials within a reasonable period. Neither party may otherwise use the other's marks without written consent.
